Terms of service
These terms govern access to Yandle's website and SaaS platform by customers and authorized users.

1. Agreement and scope
These Terms govern access to and use of Yandle's website, platform, APIs, and related services ("Services"). By using the Services, you agree to these Terms. If you act for an organization, you represent authority to bind that organization.
2. Accounts and eligibility
- You must be at least 18 years old and legally authorized to enter a binding agreement.
- You must provide accurate account data and keep credentials confidential.
- You are responsible for all activity under your account, including activity by authorized users.
3. Ownership and license
Customer retains ownership of Customer Data. Yandle and its licensors retain all rights in the Services, software, models, documentation, and related IP. Subject to these Terms, Yandle grants a limited, non-exclusive, non-transferable, revocable license for internal business use during an active subscription.
4. Definitions
- Customer Data: content, records, prompts, scripts, and data submitted by customer.
- Outputs: transcripts, summaries, analytics, tags, and recommendations generated by the Services.
- Sub-processors: third parties engaged by Yandle to operate or support the Services.
5. Prohibited conduct
You may not reverse engineer the Services, bypass limits or controls, violate applicable law, publish unauthorized benchmarks, build competing systems from the Services, or use the Services for deceptive, unlawful, or abusive communications.
6. Fees, taxes, and suspension
Fees are payable per order form or plan. Taxes, carrier costs, and overages may apply. Billing disputes must be raised within 15 days of invoice date. Yandle may suspend access for non-payment, legal risk, security risk, or material breach.
7. Compliance obligations
Customer is solely responsible for compliance with telemarketing, consent, disclosure, caller-ID, recording, and do-not-call requirements in all jurisdictions where calls are made or received, including applicable Indian regulations (TRAI/TCCCPR/NCPR-DND where relevant).
8. Data protection
Unless otherwise agreed in a signed DPA, customer is Data Fiduciary/Controller and Yandle is Data Processor. Customer warrants lawful basis and required consent for personal data processing. Yandle processes data in accordance with the Privacy Policy and DPA terms.
9. Security and confidentiality
Yandle maintains administrative, technical, and organizational safeguards appropriate to the Services. Both parties must protect the other party's confidential information and use it only for authorized purposes.
10. AI limitations
AI outputs are probabilistic and may be incomplete or inaccurate. Customer remains responsible for human review, operational decisions, legal compliance, and final actions taken based on outputs.
11. Termination and data handling
Either party may terminate for uncured material breach after notice. On termination, customer may export data for up to 30 days. Thereafter, deletion proceeds per policy, contract, and legal obligations.
12. Indemnification
Customer will defend and indemnify Yandle from third-party claims arising from customer data, calling activities, regulatory non-compliance, or breach of these Terms. Yandle will defend customer against third-party claims that the Services, as provided by Yandle, infringe valid IP rights, subject to customary exclusions.
13. Disclaimer of warranties
Except as expressly stated, the Services are provided "as is" and "as available." Yandle disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
14. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits/revenue/data. Each party's aggregate liability is limited to fees paid by customer in the 12 months preceding the claim, except where non-excludable by law.
15. Governing law and dispute resolution
These Terms are governed by the laws of India. Disputes are resolved by arbitration seated in Bengaluru under the Arbitration and Conciliation Act, 1996, in English. Courts in Bengaluru have jurisdiction for interim relief and enforcement.
